Terms of Use

These Terms and Conditions ("Agreement") constitute a legally binding agreement between the user ("User" or "Subscriber") and Lawtech VakalatHouse Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 906, International Finance Centre, Surat, Gujarat ("Company"), governing the access to and use of the services, features, content, applications, and website offered under the brand and domain vakalat.com (collectively referred to as the “Platform”).

  1. Acceptance of Terms
    By accessing, browsing, registering with, or otherwise using the Platform in any manner, the User expressly acknowledges that they have read, understood, and agreed to be bound by the terms of this Agreement, including any future modifications or amendments that may be made by the Company in its sole discretion. The User further affirms that they possess the legal capacity and authority to be bound by this Agreement.
  2. Scope of Services
    The Platform provides a suite of legal technology services including but not limited to matter management, court integration, document automation, billing, legal research tools, data analytics, and communication utilities for legal professionals and organizations (“Services”). The Company reserves the right to add, modify, suspend, or discontinue any aspect of the Services without prior notice or liability.
  3. License Grant and Restrictions
    Subject to timely payment of applicable subscription fees and compliance with this Agreement, the Company grants the User a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for lawful professional or academic purposes. The User shall not reverse engineer, decompile, modify, distribute, lease, sell, sublicense, transmit, or otherwise exploit the Platform, its content, or any portion thereof, except as expressly permitted in writing by the Company.
  4. Subscription, Fees, and Refunds
    The User shall remit subscription fees in accordance with the pricing schedule published by the Company from time to time. All fees once paid are non-refundable and non-creditable, except where otherwise mandated by applicable law. The Company reserves the right to modify the fees, billing cycle, or payment terms upon reasonable notice. Failure to pay fees when due may result in suspension or termination of access to the Services.
  5. Intellectual Property Rights
    All intellectual property rights, including but not limited to copyrights, trademarks, trade names, patents, and design rights subsisting in or related to the Platform, its structure, layout, user interface, and content, whether registered or unregistered, shall at all times vest exclusively with the Company. Nothing in this Agreement shall be construed as transferring any ownership rights to the User.
  6. User Obligations
    The User agrees to (i) use the Platform strictly in accordance with applicable laws, including but not limited to data protection and intellectual property laws; (ii) maintain the confidentiality and integrity of their account credentials; (iii) refrain from posting, uploading, or transmitting any unlawful, defamatory, infringing, obscene, or offensive content; and (iv) not use the Platform in any manner that could damage, disable, impair, or compromise its functionality, security, or integrity.
  7. Confidentiality and Data Usage
    The Company shall maintain confidentiality of all data and information uploaded or processed by the User, subject to disclosure where required by law or competent authority. The Company reserves the right to aggregate anonymized data for purposes of analytics, performance enhancement, and product development, provided that such data does not identify any individual or specific legal matter.
  8. Data Retention and Termination
    Upon expiration or termination of the subscription or this Agreement, the User’s access to the Platform shall cease immediately. The Company shall, subject to applicable policies, permit the User to export any User-generated data entered during the subscription period. The Company shall not be obligated to retain any such data beyond a period of ninety (90) days from the date of termination.
  9. Exclusion and Limitation of Liability
    The Platform and Services are provided on an “as-is” and “as-available” basis without warranties of any kind, express or implied. The Company disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted access. In no event shall the Company be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of data, profits, or business opportunity, arising out of or related to the use or inability to use the Platform.
  10. Indemnity
    The User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against all claims, liabilities, losses, damages, expenses, and costs (including reasonable attorneys’ fees) arising out of or in connection with (i) the User’s use or misuse of the Platform; (ii) any violation of this Agreement; or (iii) any infringement of intellectual property or privacy rights of any third party.
  11. Force Majeure
    The Company shall not be held liable for any failure or delay in performance of its obligations under this Agreement if such failure or delay arises due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, governmental action, labor unrest, technical failures, or disruption of telecommunications or internet services.
  12. Modifications to Agreement
    The Company reserves the unilateral right to modify or amend this Agreement at any time. Any such modifications shall be published on the Platform and shall become effective upon publication. Continued use of the Services after such changes constitutes acceptance of the revised terms by the User.
  13. Governing Law and Jurisdiction
    This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Subject to the provisions of Clause 14 below, the courts at Surat, Gujarat, shall have exclusive jurisdiction over all disputes arising out of or relating to this Agreement.
  14. Dispute Resolution
    Any disputes arising out of or in connection with this Agreement shall be resolved through mediation in the first instance. If the dispute remains unresolved, the same shall be referred to arbitration by a sole arbitrator appointed mutually, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Surat, Gujarat, and the proceedings shall be conducted in English.
  15. Severability
    If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable under applicable law, such provision shall be severed and the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
  16. Entire Agreement
    This Agreement, along with the Privacy Policy and any other policy documents referred to herein, constitutes the entire understanding between the User and the Company and supersedes all prior understandings, representations, or agreements, whether written or oral.
